American English Editing, LLC - Terms and Conditions of Service

By placing an order for services with American English Editing, LLC (AmEE), you (the Client) warrant that you have read, understand and accept the following Terms and Conditions of Service:

Scope of Services

AmEE provides editorial and proofreading services. AmEE does not conduct independent research or otherwise ensure the factual accuracy or legality of the contents of the Client's documents, which remain the sole responsibility of the Client. AmEE services do not constitute legal advice. Even in the event that AmEE services are rendered by licensed attorneys, no attorney-client relationship will thereby be created.

Disclaimer of Warranty and Limitation of Liability

AmEE disclaims, to the full extent permissible by law, any warranty, express or implied. The Client expressly waives the right to any warranty, express or implied. AmEE provides its services "as is" and at the risk of the Client. AmEE is not liable for any damages to the Client resulting from the use of AmEE services, the AmEE website or AmEE e-mail. In no event will AmEE be liable for any sums in excess of the amount paid by the Client to AmEE.

Dispute Resolution, Arbitration and Forum Selection Clauses

The Client and AmEE both agree to use their best efforts to amicably settle any disputes. The Client and AmEE both agree that any and all disputes that cannot be amicably settled will be submitted to binding arbitration in the city of domicile of AmEE, Lake Charles, Louisiana, United States of America. The Client and AmEE both agree that the only proper forum and venue for legal actions shall be the courts of the Parish of Calcasieu, State of Louisiana, United States of America.

Unpaid Invoices

The Client agrees to pay AmEE invoices within thirty days of receipt. In the event the Client does not pay an AmEE invoice within thirty days of receipt, the Client agrees to pay interest in the amount of fifteen percent (15%) on the unpaid balance. In the event that AmEE is required to institute legal action or hire an attorney to collect an unpaid balance, the Client agrees to pay to AmEE attorney's fees in the amount of twenty-five percent (25%) of the unpaid balance, interest in the amount of fifteen percent (15%) dating from thirty days after receipt of the invoice, plus all costs and expenses incurred by AmEE.

Applicable Law

The laws of the State of Louisiana, United States of America, apply to the foregoing agreement and to any and all disputes between the Client and AmEE.

Severability

In the event that any provision of these Terms and Conditions and/or the agreement between the parties is deemed invalid, void or unenforceable, that provision shall be deemed severable and the remainder of the provisions shall remain valid, binding and enforceable.
